Terms and Conditions

I hereby apply to become an Independent Business Owner (hereinafter referred to as IBO) of BPI Worldwide, Inc., a Nevada Corporation (hereinafter called BPI Worldwide, Inc.) and to participate in its Compensation Plan subject to the BPI Worldwide, Inc. Policies and Procedures. My application submission, together with my checking the “I accept” and the “I agree” buttons during my online enrollment, constitutes my agreement to the terms of this IBO Agreement and acknowledgement that I have received, read, accepted and agreed to the BPI Worldwide, Inc. Compensation Plan and the Policies and Procedures, which together herewith, constitute my agreement with BPI Worldwide, Inc..

As an Independent Business Owner, I understand and agree that:

1. I am of legal age in the jurisdiction in which I enter this agreement.

2. I shall become an IBO upon acceptance of this application and agreement form by the company. I shall have the right to sell the services and products offered by BPI Worldwide, Inc. in accordance with the sales program and policies and procedures which may be amended from time to time as the company deems necessary.
Amendments are made by announcements on the company web site and/or publications.

3. BPI Worldwide, Inc. at its discretion, may amend the compensation plan, its policies and procedures, and terms of this IBO agreement at any time without notice. An IBO must check the “I agree” box after reviewing new revisions or amendments to verify their agreement to abide by the new regulations.

4. I have carefully reviewed the BPI Worldwide, Inc. sales program, policies and procedures, and acknowledge that they are incorporated as part of this agreement in their present form and as modified from time to time by BPI Worldwide, Inc. I certify that I have received a copy of the compensation plan and policies and procedures from my sponsor, my upline or from the web site of BPI Worldwide, Inc.

5. An IBO shall be entitled to cancel participation in the sales program at any time and for any reason upon written notice to the company with an original signature. To verify it is the correct person canceling anything, nothing can be cancelled via email. Upon notification or termination, BPI Worldwide, Inc. will repurchase unused and currently marketable inventory and sales aids purchased from BPI Worldwide, Inc. within 30 days ( or longer where regulated by state law) from the date of receipt of merchandise first ordered at 90% of the IBO’s cost paid less appropriate off-sets and legal claims. The term of the company IBO agreement is renewed every year on the enrollment date by the IBO buying or selling 90 BV (Business Volume). An IBO is renewed annually on the anniversary date if 90 BV has been personally purchased or sold. All non-renewals will become INACTIVE and positions deleted if annual anniversary renewal is not met.

6. Upon acceptance of this application by BPI Worldwide, Inc., I will be an independent Contractor, responsible for my own business and not an employee of BPI Worldwide, Inc.. I will not be treated as an employee with regard to any state or federal laws covering employees, including but not limited to the Federal Insurance Contributions
Act, Workmen’s Compensation, Income Tax withholding at source, or any federal or state tax laws. It is my responsibility to pay self-employment, state and federal income taxes as required by law.

7. I will not use the BPI Worldwide, Inc. trade names and/or trademarks except in sales materials or in other advertising provided to me by BPI Worldwide, Inc.. Furthermore, only literature produced or otherwise authorized by BPI Worldwide, Inc. may be used. Any use of unauthorized literature is strictly prohibited and is grounds for termination. Only BPI Worldwide, Inc. approved materials may be marketed at BPI Worldwide, Inc. Business Meetings.

8. Any IBO who sponsors other IBOs, must fulfill the obligation of performing a bona fide supervisory, distributing, and selling function in the sale of services and products to the ultimate consumer and in the training of those sponsored. IBOs must maintain ongoing contact, communication and management supervision with his or her sales team. Examples of such supervision may include but are not limited to: personal meetings, telephone contacts, voice mail, electronic mail, e-mail, web page, training sessions, accompanying individuals to company training and sharing genealogy information with those sponsored. IBOs must provide evidence to BPI Worldwide, Inc. at its request of ongoing fulfillment of supervisory responsibilities.

9. The BPI Worldwide, Inc. program is built on sales to the ultimate consumer. IBO will make every reasonable attempt to sell to customers understanding that sales are a requirement to receive bonus compensation. The BPI Worldwide, Inc. program is based on sales to the end consumer and not on the stockpiling of services and
products. At the time of each order, IBO must certify that they have sold at least 70% of the previous order. Each IBO shall maintain,a listing of their individual customers in the Back Office under “Manage My Customers” and “Website Customers.”

10. BPI Worldwide, Inc. also recognizes that IBOs may wish to purchase a service or product for their own personal or family use. For this reason a sale for bonus purposes shall include sales to non-participants as well as sales to IBOs for personal or family use which are not made for purposes of qualifications or advancement. It
is BPI Worldwide, Inc. policy however, to strictly prohibit the purchase of services and products in unreasonable amounts solely for the purpose of qualifying for bonuses or advancement in the income formula. IBOs may not service or inventory load or encourage others to do so.

11. IBO acknowledges that he/she is a wholly independent business owner who establishes and services customers for BPI Worldwide, Inc. services and products as an independent contractor. The position of IBO does not constitute either a sale of a franchise or of a distributorship. This agreement is not intended and shall not be
construed to create a relationship of employer-employee, agency, partnership or joint venture between any IBO, Sponsor, and/or BPI Worldwide, Inc. AS AN INDEPENDENT BUSINESS OWNER, the IBO shall:

A. Abide by any federal, state, county and local laws, rules and regulations pertaining to this agreement and/or the acquisition, receipt, holding, selling, distributing or advertising of company services and products.

B. At the IBOs own expense, make, execute, or file all such reports and obtain such licenses as are required by law or public authority with respect to this agreement and/or the receipt, holding, selling, distributing or advertising of BPI Worldwide, Inc. services and products.

C. Be solely responsible for declaration and payment of all local, state and federal taxes as they accrue because of the IBOs activities in connection with this agreement.

12. If IBO has purchased BPI Worldwide, Inc. services, products or sales materials and is in default on payments, BPI Worldwide, Inc. shall be entitled to deduct amounts due from commissions due. In addition, default on payments due for elective purchases from BPI Worldwide, Inc. shall be grounds for termination of IBO and/or such legal action as the Company deems appropriate.

13. Prior written approval from BPI Worldwide, Inc. is required for the following:
A. To advertise BPI Worldwide, Inc. services and products.
B. To use or produce sales materials other than BPI Worldwide, Inc. produced materials relating to the services, products or compensation plan. You may not at any time produce, reproduce or copy BPI Worldwide, Inc. video, audio materials or web site.

As BPI Worldwide, Inc. continues to massively grow across the globe, we must always protect the company from statements that are being made that are not endorsed by BPI Worldwide, Inc. IBOs must not build independent web sites, only company provided web sites will be allowed and the company will put all disclaimers and warnings on them that must be noted.

14. IBO shall not repackage or relabel any BPI Worldwide, Inc. service or product in any way.

15. IBO agrees to submit any complaint, grievance or claim against an IBO or BPI Worldwide, Inc. to the Customer Service for distribution to the proper company official for resolution and settlement in accordance with the policies and procedures prior to contacting any regulatory agencies or taking any legal action. IBO agrees to allow BPI Worldwide regulatory officials a period of sixty days to handle the claim. IBO agrees that a breach of this covenant on his/her part will make IBO liable for damages and legal cost to BPI Worldwide, Inc..

16. IBO understands and agrees that the sales plan and any other plan used by BPI Worldwide, Inc. for marketing its services and products has specific reporting and time sensitive qualification requirements. It is the responsibility of each IBO to understand these and comply. Failure to do so may affect IBOs commissions and no
exceptions can be made.

17. IBO agrees to use only company approved scientific testing as a basis for any product claims. No personal testimonies can be taken or used during any product presentations.

18. This agreement will be binding upon receipt at the company address and upon acceptance thereafter by BPI Worldwide, Inc...

19. IBO agrees that the compensation plan, genealogy reports, IBO lists and official Literature are proprietary information and are considered trade secrets of BPI Worldwide, Inc... Ibo further agrees and acknowledges that the identities of BPI Worldwide, Inc. IBOs are confidential and proprietary information of BPI Worldwide, Inc. and as such, are considered trade secrets of BPI Worldwide, Inc. IBO agrees that he/she will not use his/her knowledge of the identities if BPI Worldwide, Inc. IBOs in any manner whatsoever except for the purpose of
promoting and marketing BPI Worldwide, Inc. services and products.

20. IBO understands that although he/she may sponsor other IBOs, the compensation plan does not allow IBO to profit through the activity of sponsoring those IBOs. Commissions are paid only from actual service and product sales made by IBO or his/her sponsored IBOs. No one has made any promise or guarantee that I will
derive any specific income or profit as an IBO. An IBO’s success will depend on his/her own efforts from the sale of BPI Worldwide, Inc. services or products to the end consumer, building his/her own sales team and training that team to sell, sponsor, and train. An IBO may not actively participate in any MLM or network marketing company other than BPI Worldwide, Inc. without written consent from BPI Worldwide, Inc., unless the IBO was involved with the other MLM company prior to joining BPI Worldwide, Inc..

21. IBO shall not represent or imply, directly or indirectly, that the BPI Worldwide, Inc. program has been approved or endorsed by any governmental agency. Federal and State regulatory agencies never approve or endorse any marketing product or programs.

22. Should IBO cease to be an Independent Business Owner of BPI Worldwide, Inc., IBO agrees that he/she shall not call on or solicit, either for himself/herself or on behalf of any person, firm, corporation, association, or other entity, any BPI Worldwide, Inc. IBO, customer or vendor with whom IBO became acquainted, or learned of, while participating in BPI Worldwide, Inc.’s sales program. IBO further agrees neither to induce nor attempt to induce any BPI Worldwide, Inc. IBO, customer or vendor to terminate their relationship with BPI Worldwide, Inc. IBO
further agrees that he/she will not, in any manner at any time, hire or attempt to encourage any employee or agent of BPI Worldwide, Inc. to leave their employment or terminate their relationship or employment with BPI Worldwide, Inc.

23. BPI Worldwide, Inc. shall not be responsible for acts beyond its control, including, but not limited to: fire, flood, earthquake, storms, power outages, labor difficulty, equipment failure, supplier problems, or other difficulties that might prevent performance according to this agreement.

24. IBO acknowledges that he/she has read, understands, and agrees to the terms set forth in this agreement. This agreement is not in force until accepted by BPI Worldwide, Inc.

There is no fee, charge or required purchase to participate in any phase of BPI Worldwide, Inc. marketing plan. Advancement through any phase of the marketing plan can be accomplished strictly by you and your sales team retailing product.

The following warning must be disclosed to any prospective person or purchaser of the BPI Worldwide, Inc. fuel product whether written or oral:

“This product contains naphthalene as an active ingredient. Short term exposure, inhalation, ingestion, and dermal contact with naphthalene is associated with hemolytic anemia. Damage to the liver and neurological damage. Please store in a well ventilated area at all times. Keep out of the reach of children.”

25. This agreement shall be governed by the laws of the State of Utah and all claims, disputes and other matters between the parties of this agreement shall be brought in the appropriate state court and the parties hereto further consent to venue and jurisdiction in those courts.

26. These Terms and Conditions, the materials regarding BPI Worldwide, Inc. Compensation Plan/Sales Program, the Application and Agreement Form and the Policies and Procedures constitute the entire agreement between IBO and BPI Worldwide, Inc. and no other additional promises of any kind shall be binding and enforceable unless in writing and signed by BPI Worldwide, Inc.
